Terms of Service

This English translation is provided as a courtesy and may lag behind the Spanish version in structure and detail. The Spanish version, available at https://conectee.com/legal/terms, is the binding and controlling version and is the one kept fully up to date.
Operated by Arkline Digital LLC, a limited liability company organized under the laws of the State of Wyoming, United States of America, with its address at 30 N Gould St Ste R, Sheridan, WY 82801, USA ("Arkline", "Conectee", "we", "us").
These Terms of Service (the "Terms") govern access to and use of the Conectee mobile application, the website conectee.com, the client web portal, and any related services (collectively, the "Platform").
1. Acceptance of the Terms
1.1. By creating an account, checking the acceptance box during registration, accessing the client portal, or using the Platform in any way, you agree to be legally bound by these Terms, by our Privacy Policy, and by the Operating Parameters in effect (Section 5.11), which form part of these Terms. If you do not agree, do not use the Platform.
1.2. Upon registration, the Platform records the date and version of the Terms and of the Operating Parameters you accepted. When we publish a version with material changes under Section 20.1, we will notify you and ask you to expressly re-accept it within the Platform (app and portal) before you can keep using it; the current version will always be published at https://conectee.com/legal/terms.
1.3. If you use the Platform on behalf of a company or organization, you represent that you have sufficient authority to bind that entity to these Terms.
2. Definitions
- Provider (Prestador): professional or business that publishes services in its catalog on the Platform.
- Conecte: person who recommends a Provider's services to potential clients and earns a commission on sales closed thanks to their recommendation.
- Client: person who hires and pays for the Provider's service.
- Connection: the digital record linking a Client to a Provider (and, where applicable, the referring Conecte) for a specific service.
- Quotation: the price and scope proposal the Provider sends to the Client; once accepted by the Client it constitutes the service agreement between them.
- Commission: the percentage of the service price (excluding VAT where the service is subject to it, see Section 5.3.1) that the Provider agrees to pay Conectee for each sale attributed to the Platform, within the range in effect under the Operating Parameters (Section 5.11).
- Wallet: the virtual balance within the Platform where the earnings of the Conecte and of referrers are credited.
- Operating Parameters: the amounts, percentages, terms, limits, and other concrete values that govern how the Platform operates, described in Section 5.11.
- Material Change: a change to these Terms, or to the Operating Parameters under Section 5.12, that reduces a user's substantial rights and that, under Section 20.1, requires express re-acceptance.
- Platform Content: the software, design, interfaces, trademarks, databases, and other content owned or licensed by Conectee, other than content a user uploads (Section 14.2).
The same user may hold the Provider and Conecte roles simultaneously.
3. Nature of the Service — What Conectee IS and IS NOT
3.1. Conectee is a referral marketing technology platform. We enable Providers to publish their services, Conectes to recommend them with verifiable attribution, and Clients to hire them with digital tracking.
3.2. Conectee is NOT:
- a party to the service agreement between the Client and the Provider;
- an employer, placement agency, or contractor of Providers or Conectes;
- a processor or custodian of the Client's payment to the Provider — that payment happens outside the Platform, directly between Client and Provider, by whatever means they agree;
- responsible for the quality, safety, legality, or timeliness of the services offered or rendered (see Section 8.4 on the backing we do provide).
3.3. The Provider is solely responsible for the quality, legality, and performance of the services it offers, for holding any applicable licenses or permits, and for issuing to the Client any tax receipts or invoices that apply.
3.4. Technology intermediation. Conectee acts as a technology intermediary between Providers, Conectes, and Clients: it makes available the tools to publish, recommend, quote, hire, and track services, without intervening in their performance or assuming the obligations inherent to that performance.
3.5. Evolution of the Platform. Conectee may modify, add, suspend, or withdraw functions, tools, or sections of the Platform at any time in order to improve the service. Where a change is material to users' rights or obligations, it is subject to Sections 5.12 and 20.1.
4. Eligibility and Account
4.1. Age and capacity. To use the Platform you must be at least 18 years old and have legal capacity to contract. The Platform is not directed at minors.
4.2. Registration. Registration requires: email address, password, full name, and a phone number verified through the means indicated by the Platform. You agree to provide truthful, complete, and current information.
4.3. One account per person. Creating or maintaining multiple accounts is prohibited, as is creating accounts to evade sanctions, invitation limits, or suspensions.
4.4. Account security. You are responsible for keeping your credentials confidential and for all activity performed from your account. The Platform optionally offers two-step verification and per-device biometric unlock; we recommend enabling them. Notify us immediately at [email protected] of any unauthorized use.
4.5. Provider verification (KYC). Providers must complete an identity verification process that includes an official ID document (front and back) and a verification selfie. Providers who are individuals also declare their CURP (Mexican unique population registry code), which we store encrypted (see Privacy Policy). Linking the same CURP, or the same legal business name, to more than one Provider account is prohibited ("one business, one account"); matches are flagged for review and may result in verification being rejected. We may approve, reject, or revoke verification at our reasonable discretion and request additional documentation. Uploaded documents are retained in versioned form (prior versions are not overwritten). Once verification is approved, the account's identity data (first and last name, date of birth, CURP, and, where applicable, legal business name) is locked and may only be corrected through support, with the correction logged. The "Verified Provider" badge only indicates that this process was completed; it does not mean Conectee is responsible for the Provider's work.
4.6. Client portal. Clients may operate without an account through the web portal, authenticating with a one-time code (OTP) sent to their email, valid for the period the Platform indicates in the portal. Use of the portal constitutes acceptance of these Terms to the extent applicable to them.
5. Post-Payment Commission Model
5.1. Direct payment. The Client pays the service price directly to the Provider, outside the Platform, by whatever means they agree (cash, transfer, card, etc.). Conectee does not intervene in, hold, or process that payment.
5.2. Service flow.
- The Provider publishes services in its catalog and sets the Commission for each one, in accordance with the Operating Parameters published on the Platform (Section 5.11).
- The Conecte shares the catalog or service via a link or QR code with attribution.
- The Client requests the service through the link. For services that require a Quotation, the Provider sends a Quotation (which may include labor and materials line items, see Section 5.9) and, once the Client accepts it, the service agreement between them is formed and the exchange of contact details is unlocked. For fixed-price services, by submitting the request the Client accepts the published price (forming the agreement), and the exchange of contact details is unlocked from that moment. The Client always provides its own contact details directly on the Platform (see Section 7.2).
- After the service is rendered, the Provider reports on the Platform that it received the Client's payment. At that point, the corresponding Commission is held on the Provider's payment method on file under Section 5.7 (not charged yet).
- The Client confirms the payment (and may leave a review) within the period the Platform indicates in the notification; absent a response within that period, the payment is deemed automatically confirmed.
- Once the payment is confirmed (by the Client or automatically), Conectee captures the previously held Commission, under Sections 5.7 and 6.3.
5.3. Commission calculation. Based on the service price excluding VAT (see also Section 5.3.1), the gross Commission results from applying the service's Commission percentage to the price excluding VAT. Of the gross Commission, a portion goes to the Conecte and the rest to the Platform, in accordance with the split in effect published in the Operating Parameters (Section 5.11). The breakdown that applies to each specific transaction is shown on the Platform before you confirm it.
5.3.1. VAT per job. Each service indicates whether its price includes VAT. Where it does, the Commission is calculated on the price excluding VAT (the Provider declares this when quoting); the Client sees the Subtotal, VAT, and Total breakdown of the contracted service in the portal. This declaration is the Provider's responsibility; Conectee is not liable for VAT on its Commissions at this stage (Section 13).
5.4. Protection window. The Conecte's share is held for the period in effect under the Operating Parameters (Section 5.11), counted from the Commission charge, as protection against fraud, chargebacks, and disputes. Once the window ends, it is automatically released to their Wallet. If the Connection is in dispute, the release is paused until the dispute is resolved. Conectee absorbs the risk of chargebacks against its own share: the Conecte's share never goes negative because of a chargeback the Provider lost.
5.5. Commission types. As configured by the Provider per service: Recurring (commission on every payment from the same Client, indefinitely) or Annual (commission for the period in effect under the Operating Parameters, counted from the first accepted Quotation for that service; once it lapses, that Client is considered the Provider's own portfolio for that service and stops generating Commission). Whether a service is Annual or Recurring, and whether a Client counts as the Provider's own, are determined per service (the same Client may be the Provider's own client for one service and generate Commission normally for another). If the Client reached a service without using a recommendation link within the attribution window in effect under the Operating Parameters (Section 5.11), the Connection is treated as the Provider's own client, generating no Commission and no referral benefit.
5.6. Non-payment declarations. If the Client fails to make the agreed payment, the Provider may declare this on the Platform. The Client may respond through the portal (confirming that they did make the payment, or stating that the service did not take place) within the period the Platform indicates in the notification; absent a Client response, the Provider's declaration stands and the Connection is closed without generating a Commission, subject to the closing question in Section 5.10. Either party may also initiate a dispute under Section 12. Fraudulent use of reports or declarations is grounds for suspension.
5.7. Holding and capturing the Commission. When the payment is reported (Section 5.2.4), Conectee holds the Commission amount on the Provider's payment method on file, without charging it yet. The hold is captured (finally charged) when: (a) the Client confirms the payment; (b) the automatic-confirmation period elapses (Section 5.2.5); or (c) the Provider reports the payment and there is no Client response within the applicable period. If the Provider cancels the Connection or declares that the Client did not pay before capture, the hold is released. An uncaptured hold renews automatically before it expires; if that requires new authorization from the Provider's bank and the Provider does not complete it, the Connection is left with the Commission pending authorization and enters delinquency under Section 6.4.
5.8. Additional verification and per-charge limits. Based on risk criteria (Section 18.4), the Platform may require the Provider to complete an additional bank confirmation before generating the hold, and applies a maximum limit per Commission charge. If the Commission calculated for a Quotation exceeds that limit, the Platform requires the work to be split into stages before it can be accepted. The applicable limit is shown while building the Quotation.
5.9. Quotations with labor and materials. The Provider may break a Quotation down into labor, materials, and other line items. The Commission is calculated only on the labor line items and other items that are not materials (materials do not generate Commission). Where the service requires it, the Provider may offer a preliminary assessment (free or paid, at its choice) before quoting; if the Client hires it, contact details are shared to coordinate the visit. If the Provider charges for the assessment and then quotes the job, that cost may be deducted from the Commission base under the Platform's rules in effect.
5.10. Declining a job, closing Connections, and retroactive charges. The Provider may decline a job, stating a reason; Conectee keeps a visible record of each Provider's cumulative rate of declined jobs, and a high rate may reduce its visibility in the catalog or, in repeated cases, lead to suspension. Any Connection that is not closed within a reasonable period receives periodic notices to both parties; if it remains unresolved, it is marked "unclosed" and remains visible to the Conecte along with any evidence they provide. When any Connection closes, the Client is asked whether the job was performed; an affirmative answer about a job the Provider did not report may lead to the retroactive charge of the corresponding Commission and to an infraction ("strike," Section 7.6) against the Provider. Conectee also periodically reviews Conectes' Connections with no Commission charged; where there is evidence a job was performed and not reported, it may request evidence from the Conecte and, where warranted, proceed to a retroactive charge with the same infraction effect.
5.11. Operating Parameters. The amounts, percentages, terms, limits, and other concrete values that apply to how the Platform operates (among others, the minimum price per service, the Commission range, the split of the Commission between the Conecte and the Platform, referral benefits and slots, the protection window, the minimum withdrawal and its cost, confirmation and response periods, and fees applicable to disputes or chargebacks) are set out in the Operating Parameters Annex, which forms an integral part of these Terms. It is published within the Platform, available before you accept these Terms and at all times from your account, carries a version and effective date, and the Platform records the version in effect when you accept or operate. The values for each specific transaction are shown before you confirm it.
5.12. Changes. Conectee may adjust the Operating Parameters subject to: (a) notice within the Platform with reasonable advance notice, stating version and date; (b) non-retroactivity (accepted Quotations, calculated or held Commissions, accrued benefits, and requested withdrawals are governed by the Parameters in effect at the time of the act); (c) reducing the Conecte's share, increasing the Provider's burden on services already published, or reducing referral percentages is a Material Change and requires re-acceptance (Section 20.1); (d) other adjustments take effect on the announced date, with the right to stop using the Platform and withdraw the available balance (Section 18.2).
5.13. Confidentiality. The Operating Parameters are confidential information (Section 14.4). You may consult them, keep a copy for your own use, and share them with advisors, authorities, and to exercise or defend your rights, including consumer-protection rights. Beyond that, you may not reproduce, publish, compile, or systematically or commercially disclose them, nor use them for a similar or competing product. This does not apply to information that is public through means other than your breach.
6. Provider Obligations
6.1. Catalog and pricing. The Provider sets prices and the Commission percentage for each service, in accordance with the Operating Parameters published on the Platform (Section 5.11); some categories may require a higher minimum. Published prices and Quotations must be truthful. During the window the Platform indicates after a service is published, only the category may be changed; the title is fixed from publication, while the price and description may be edited at any time. If the price of a service with active recommendation links increases significantly, the Conectes who shared it are notified.
6.2. Performance. The Provider will render services with the quality and on the terms quoted, and will comply with all applicable law (including tax law: issuing CFDI or other tax receipts to the Client is the Provider's sole responsibility).
6.3. Payment method on file. The Provider must register and maintain a valid payment card through our payment processor (Stripe) as a requirement to publish services in its catalog and to send Quotations; without a card on file, Connections cannot be formed (the Provider cannot publish the service nor send the Quotation the Client would accept). By registering the card, the Provider expressly authorizes Conectee to make automatic ("off-session") charges to that card for the amount of Commissions held and captured under Section 5.7, without further authorization for each charge (except for the additional verification of Section 5.8 where it applies). When the card is registered, the Platform performs a temporary authorization for a token amount, which is cancelled immediately and does not constitute a final charge or a payment. The Provider may also register a backup card, which the Platform uses automatically if the primary card declines a charge, before attempting the retries under Section 6.4.
6.4. Delinquency. When a Commission charge fails to complete or a Quotation is not authorized, the Provider's account moves through stages of increasing effect: grace (a notice only), hidden catalog (the Provider's catalog and links stop showing to new Clients), suspension (the Provider cannot publish services or send new Quotations), and collections (in addition to the above, Conectee may pursue collection through other legal means), in accordance with the periods in effect under the Operating Parameters (Section 5.11); the app shows the date of the next stage. Delinquency is lifted automatically once the debt is paid, and the Provider can pay it from the app at any stage. Until its first successful Commission charge, the Platform may limit the Provider's Connections in progress. If the Provider has an open chargeback, receipt of new leads is paused; if it loses its first chargeback, the account is suspended until the Commission and the applicable dispute fee are paid; if it loses a second chargeback, the account is permanently deactivated.
6.5. Truthful payment reporting. The Provider agrees to report on the Platform all payments received from Clients attributed to the Platform, completely and promptly. Under-reporting amounts or omitting reports constitutes Commission evasion (Section 9).
7. Conecte Obligations and Earnings
7.1. Attribution. Recommendations are attributed through links, QR codes, or recommendation codes generated by the Platform. Only sales attributable per the Platform's records generate Commission.
7.2. Third-party data. The Client provides its own contact details (name, phone, email, service address) directly on the Platform's portal when requesting a service. The Conecte shares recommendation links or codes, but does not capture or register third parties' personal data on the Platform; attempting to do so by means outside the Platform for that purpose is prohibited.
7.3. Wallet and withdrawals. Released earnings are credited to the Wallet. Withdrawals are made by SPEI transfer to the CLABE account registered by the Conecte, in accordance with the cost and minimum amount in effect published in the Operating Parameters (Section 5.11). Once the released balance reaches the minimum, Conectee transfers it automatically on a recurring basis; the Conecte may also request a withdrawal at any time from the app (for example, to avoid waiting for the next automatic payout, or to retry one that failed). Before the first withdrawal, the Conecte must complete beneficiary information and accept the tax declaration applicable to payments from a foreign entity (W-8BEN equivalent). Payouts are processed through international payment providers.
7.4. Nature of earnings. The Conecte's earnings are independent income from referral activity. The Conecte is not an employee, agent, or representative of Conectee or of the Provider, and is responsible for their own tax obligations.
7.5. Negative balance from reversals. In the event of a chargeback, fraud, or reversal of an already-distributed Commission, Conectee may reverse the corresponding Wallet credit (clawback), which may temporarily leave the balance negative until offset by future earnings. Conectee absorbs, against its own share, the risk of a Provider's legitimate chargebacks (Section 5.4); clawback applies to fraud or reversals attributable to the Conecte itself.
7.6. Reputation and strikes. In addition to the sanctions in Section 9, any Connection left "unclosed" without evidence of follow-up by the Conecte (Section 5.10) may register an infraction ("strike") against their account. Accumulating the number of strikes in effect under the Operating Parameters triggers a notice and the temporary loss of catalog-highlighting benefits, in addition to blocking access to the next level of the leveling program; a higher number of strikes may lead to permanent account deactivation. Strikes are visible to the user themselves on their profile, along with the date they expire.
8. Clients, Portal, and Reviews
8.1. The Client accesses the portal via email OTP and may: review and accept or reject Quotations, track their Connections, confirm or dispute reported payments, communicate with the Provider, and leave reviews.
8.2. Accepting a Quotation creates a direct agreement between Client and Provider. Conectee is not a party to that agreement. Any change of scope, invoice, or refund must be handled directly with the Provider, without prejudice to the backing described in Section 8.4.
8.3. Reviews. Reviews are rated according to the criteria and scale the Platform establishes, plus an optional comment, and must be truthful and based on real experiences. We reserve the right to remove reviews that are false, offensive, unlawful, or in breach of these Terms. Reviews may be bidirectional (Providers may also rate). Reviews of Connections marked as the Provider's own client are shown identified as such and are not included in the service's public average.
8.4. Client Backing. In addition to the direct agreement you form with the Provider (Section 8.2), Conectee offers you the following concrete backing:
- Providers complete an identity verification process before they can operate on the Platform (Section 4.5).
- Every hire is documented through a Quotation with a date and amount, which you expressly accept.
- You can review real reviews from clients who already hired that Provider (Section 8.3).
- Where enough information exists, the quoted price is compared to similar services in your city, so you know whether it is within the usual range.
- If something does not add up, you can report it from the portal: the Provider is required to respond, and their reputation within Conectee depends on how they do so.
This backing does not mean Conectee is a party to the contracted service, that it answers for its outcome, quality, or performance, or that it will refund any amount. Conectee does not intervene in the performance of the service; it offers this reporting channel and applies its own internal rules to the Provider (including those in Sections 5.10, 7.6, and 9) based on the available evidence.
9. Anti-Circumvention (Bypass) and Prohibited Conduct
9.1. Platform circumvention. Evading Commission payments is strictly prohibited, including without limitation: closing off-Platform deals that originated on the Platform to avoid the Commission; exchanging contact details before unlock for that purpose; under-reporting prices; or cancelling Connections while pretending the service did not occur.
9.2. Monitoring. The Platform uses technical signals and automated systems to detect circumvention attempts, as described in Section 18.4. See our Privacy Policy.
9.3. Sanctions. Depending on severity, violations may result in: warnings, account flagging, holds on balances tied to operations under investigation, suspension, permanent removal, and/or recovery of evaded Commissions. Accounts removed for circumvention may be subject to reactivation conditions.
9.4. Other prohibited conduct. You further agree NOT to: (a) publish services that are illegal, deceptive, or require licenses you do not hold; (b) use the Platform for spam, fraud, money laundering, or illicit financing; (c) impersonate identities or use false documents in verification; (d) manipulate the referral program, reviews, or gamification; (e) engage in the conduct described in Section 9.5; (f) upload malware or content that infringes third-party rights.
9.5. Platform protection. Unless you have Conectee's prior written authorization, or applicable law allows it on a non-waivable basis, you may not: (a) decompile, disassemble, or reverse engineer the Platform; (b) access the Platform or extract data from it using robots, scrapers, scripts, assistants, or AI agents, or use its content to train models; (c) circumvent security, authentication, or usage controls; (d) use the Platform, its Operating Parameters, or other users' data to develop or operate a similar or competing product, or to contact users for that purpose; (e) copy, frame, or redistribute the Platform or its Content; (f) probe, scan, or test the Platform's vulnerability without authorization.
10. Referral Program
10.1. Each user has an invitation code. If a person registers with your code, you become their "referrer."
10.2. Benefit. For the period in effect under the Operating Parameters (Section 5.11), counted from the referred user's registration, the referrer receives a fixed percentage of the gross Commission (Section 5.3) generated by their referred user's transactions, which differs depending on whether the referred person is a Provider or a Conecte. Both percentages are independent of each other: if you are the referrer of both the Provider and the Conecte on the same transaction, you receive both. Conectee always retains at least the minimum percentage of the gross Commission in effect as its own share.
10.3. Limits. Each user has the base and performance-based invitation slots set by the Operating Parameters in effect (Section 5.11); your available slots and the next one you can reach are shown on your profile. A slot is consumed when the invited person completes identity verification, not merely upon sending the invitation. There is only one referral level (this is not a multi-level scheme). To collect referral benefits, the referrer's account must be active.
10.4. Self-referrals, fake accounts, and any manipulation of the program are prohibited. Conectee may adjust or cancel benefits obtained in fraud of the program.
11. Scheduling, Bookings, and Cancellations
11.1. Availability. Scheduling and booking functionality may not be enabled in all versions of the Platform. This Section applies only where that functionality is available and the Provider has enabled it.
11.2. Bookings. When the Provider enables scheduling, time slots are reserved on a first-come basis; a slot being booked is held temporarily for a brief period while the request is completed.
11.3. Cancellations. Because payment for the service occurs directly between Client and Provider (Section 5), Conectee does not charge or withhold monetary cancellation penalties. Late Client cancellations and repeated Provider cancellations, measured against the threshold the Platform indicates when booking, are recorded on the Platform and may lead to account review and sanctions under Section 18.
12. Disputes Between Users
12.1. Direct resolution. In the event of a disagreement over a Connection (quality, payment, scope), the parties must first attempt to resolve it directly through the Platform within the direct-resolution period indicated in the dispute.
12.2. Free escalation. If no agreement is reached, either party may escalate the dispute at no cost. The Conectee team will resolve it based on the evidence submitted (messages, Quotations, receipts, photographs). The parties agree to provide truthful information. A Provider who loses an internal dispute may become subject to a fee, in accordance with the Operating Parameters published on the Platform (Section 5.11).
12.3. Scope of resolution. Conectee's resolution determines effects within the Platform (for example, whether the Commission applies, Wallet adjustments, sanctions). It does not replace any rights the parties may have against each other outside the Platform. Users who file abusive or repeated disputes may be sanctioned.
13. Taxes
13.1. Arkline Digital LLC is a foreign entity (United States) operating the Platform remotely. Conectee does not act as a tax withholding agent and does not issue CFDI.
13.2. Each user is individually responsible for determining and meeting their tax obligations in their jurisdiction, including registering, reporting, and paying taxes on their income. The Provider is responsible for issuing tax receipts to the Client and for correctly declaring whether its price includes VAT (Section 5.3.1). For information purposes only, users in Mexico may consult their tax advisor regarding the treatment of payments to foreign entities (for example, Article 27 of the Mexican Income Tax Law regarding deductibility).
13.3. Conectee may issue Providers and Conectes informational commercial receipts (not tax invoices) for Commissions charged or paid, and downloadable statements. These receipts do not replace the CFDI that the Provider must, where applicable, issue to the Client.
14. Intellectual Property and User Content
14.1. The Platform, its software, design, trademarks, logos, and content are the property of Arkline Digital LLC or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Platform under these Terms. Unauthorized reproduction, modification, or exploitation is prohibited.
14.2. Your content. You retain ownership of the content you upload (service and portfolio photographs, descriptions, reviews, messages, documents). By uploading it, you grant Conectee a worldwide, non-exclusive, royalty-free, sublicensable license to host, reproduce, adapt, and display it on the Platform (including the shareable public catalog) for the purpose of operating and promoting the Platform's services.
14.3. You represent that you hold the necessary rights to the content you upload and that it does not infringe third-party rights.
14.4. Trade secrets. The Operating Parameters, the rules and models for attribution, ranking, price comparison, and fraud and evasion detection, the Platform's structure, its interfaces, and all non-public information are trade secrets of Arkline Digital LLC under the Federal Law for the Protection of Industrial Property (Ley Federal de Protección a la Propiedad Industrial) and applicable law.
14.5. Aggregated and anonymized data. Conectee may freely use aggregated or anonymized data derived from use of the Platform that does not identify a person, to operate, improve, and promote its services.
14.6. Suggestions. If you share ideas, feedback, or suggestions about the Platform with us, Conectee may use them freely without any obligation of compensation or attribution.
14.7. Use of the brand by Conectes. A Conecte may use Conectee's name and logos solely to share recommendation links or codes in accordance with the brand guidelines the Platform publishes; any other use requires Conectee's prior written authorization.
15. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARKLINE DIGITAL LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, NOR THE CONDUCT, QUALITY, OR RESULTS OF ANY PROVIDER, CONECTE, OR CLIENT. THE PLATFORM'S VERIFICATION, RANKING, AND RISK-ASSESSMENT TOOLS ARE INFORMATIONAL AIDS AND DO NOT CONSTITUTE A GUARANTEE ABOUT ANY PROVIDER, CONECTE, CLIENT, OR SERVICE. THE BACKING DESCRIBED IN SECTION 8.4 IS ALSO NOT A GUARANTEE OF THE CONTRACTED SERVICE. NOTHING IN THIS SECTION DEPRIVES THE CLIENT OF THE NON-WAIVABLE RIGHTS REFERRED TO IN SECTION 19.7.
16. Limitation of Liability
16.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARKLINE DIGITAL LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM THE USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY THEREOF.
16.2. ARKLINE DIGITAL LLC'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM RELATED TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL COMMISSIONS ACTUALLY COLLECTED BY CONECTEE ON YOUR TRANSACTIONS IN THE 3 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.
16.3. Nothing in these Terms limits liabilities that cannot be limited under applicable law. See also the safeguard clause in Section 19.7 for Client claims.
16.4. Additional exclusions. Without limiting the foregoing, Arkline Digital LLC is also not liable for: (a) indirect, incidental, or consequential damages not already covered by Section 16.1; (b) lost profits or lost data resulting from interruption, suspension, or failure of the Platform; (c) the conduct, acts, or omissions of other users (Providers, Conectes, or Clients), including the failure to perform a contracted service.
17. Indemnification
You agree to indemnify and hold harmless Arkline Digital LLC, its affiliates, officers, and employees from third-party claims (including reasonable attorneys' fees) arising from your use of the Platform in breach of these Terms or of applicable law, including, without limitation: (a) your breach of these Terms; (b) the services you offer or render as a Provider in breach of the law or of what you quoted; (c) content or third-party personal data you provide in breach of these Terms; or (d) your violation of applicable laws, including tax laws.
18. Suspension, Termination, and Account Deletion
18.1. By Conectee. When Conectee reasonably considers it necessary, we may apply graduated measures to your account — among others, warning you, limiting features (including receipt of leads), temporarily holding balances tied to operations under investigation, removing content, suspending, or deactivating the account — if we reasonably believe you breached these Terms or the law, or created risk for the Platform or its users. Where reasonable, we will notify you of the general reason for the measure, and you may request human review by writing to [email protected]. An account deactivated for circumvention, repeated chargebacks, or an identity match with another suspended account (Section 4.5) may be barred from re-registering under the same identity.
18.2. By you. You may delete your account at any time from the app (password confirmation required). Deletion is not available while there are active Connections, open disputes, or pending or held payments; before deletion, any available Wallet balance will be paid out to you.
18.3. Effects. After a deletion request, the account is deactivated with a 30-day recovery period (you can reactivate it by logging in). Once that period ends, your personal profile data is irreversibly anonymized as described in the Privacy Policy. Identity verification documents and transactional records (transactions, commissions, withdrawals, and account histories) are retained on a restricted basis for up to 5 years for legal obligations, fraud prevention, and defense of claims; once that period expires, the documents are permanently deleted, including from backup copies. Accrued obligations (Commissions owed, dispute effects, Sections 13 through 17 and 19) survive termination.
18.4. Automated detection and human review. Some measures under this Section and under Section 9 may be based, in whole or in part, on automated systems for detecting risk, fraud, or evasion. Conectee does not disclose the specific signals, thresholds, or rules of these systems, whose disclosure would facilitate evading them. Where these systems so determine, Conectee may require additional verification from the Provider (Section 5.8) or from any other user. Balances left unattached to an active account as a result of these measures are settled under Section 18.2.
19. Governing Law and Dispute Resolution with Conectee
19.1. Governing law. These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict-of-laws rules, subject to the distinction and safeguard clause of this Section.
19.2. Two types of user under this Section. For purposes of this Section 19:
- The Client is treated as a consumer. The Client fully retains the rights that the law of their country of residence grants them on a non-waivable basis, including, where applicable, recourse to that country's consumer-protection authorities. The prior-negotiation requirement in Section 19.3 applies to the Client, but not the mandatory arbitration in Section 19.4 nor the class action waiver in Section 19.5, unless the law of their country allows it and the Client agrees to submit to them.
- The Provider and the Conecte are treated as business users. Both represent that they use the Platform for business or professional purposes, and the law of Wyoming, mandatory arbitration, the class action waiver, and the liability cap of this Section and of Section 16.2 apply to them in full.
19.3. Prior resolution. Before initiating any proceeding, you agree to contact us at [email protected] describing the controversy and to negotiate in good faith for 30 days.
19.4. Binding arbitration (Provider and Conecte). Any unresolved controversy arising out of these Terms or the Platform, between Conectee and a Provider or a Conecte, shall be resolved through final and binding individual arbitration, administered by the American Arbitration Association (AAA) under its applicable rules. The arbitration shall take place in the State of Wyoming, United States, or remotely (by videoconference or on documents) at the claimant's election, with no need to travel. Judgment on the award may be entered in any court of competent jurisdiction.
19.5. CLASS ACTION WAIVER (Provider and Conecte). YOU AND CONECTEE AGREE THAT ANY CLAIM BETWEEN A PROVIDER OR A CONECTE AND CONECTEE SHALL BE BROUGHT ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF MORE THAN ONE PERSON.
19.6. Exceptions. Either party may bring qualifying claims in small-claims court. Conectee may also seek injunctive relief to protect its trade secrets (Section 14.4), its intellectual property, or the security of the Platform before any court of competent jurisdiction, including the state or federal courts located in Wyoming.
19.7. Safeguard clause. Nothing in this Section deprives any user, including the Client, of rights that the mandatory law of their country of residence does not allow them to waive. If any provision of this Section is found unenforceable against a user under such law, that provision shall cease to apply only as to that user and only to the extent strictly necessary, without affecting the rest of the Section or its application to other users.
19.8. If the class action waiver in Section 19.5 is found unenforceable as to a Provider or a Conecte, the entirety of Section 19.4 shall be void as to that person, and the controversy shall be resolved before the state or federal courts located in the State of Wyoming, to whose personal jurisdiction the parties submit.
19.9. Confidentiality of the proceeding. Unless applicable law provides otherwise, the arbitration proceeding under Section 19.4 and its outcome are confidential between the parties, without prejudice to either party's right to disclose them where necessary to enforce them, comply with the law, or exercise or defend their rights.
20. General Provisions
20.1. Modifications. We may modify these Terms. Material changes will be notified through the Platform or by email with reasonable advance notice, and we will ask you to expressly re-accept them (Section 1.2) before you can keep using the Platform; non-material changes take effect upon publication. Adjustments to the Operating Parameters are governed by Section 5.12. If you do not agree, you must stop using the Platform and may delete your account.
20.2. Assignment. You may not assign these Terms. Conectee may assign them in the context of a merger, acquisition, or asset sale, with notice to users.
20.3. Severability. If any provision is held invalid, the remaining provisions remain in full force.
20.4. No waiver. Failure to exercise a right does not constitute a waiver of it.
20.5. Entire agreement; no third-party beneficiaries. These Terms, the Operating Parameters, and the Privacy Policy constitute the entire agreement between you and Arkline Digital LLC regarding the Platform. These Terms create no rights in favor of third parties who are not a party to them, except as expressly provided in Section 17.
20.6. Language. These Terms and the Operating Parameters are drafted in Spanish, which is the prevailing and binding version. This English translation, available at https://conectee.com/legal/en/terms, is provided as a courtesy only.
20.7. Notices. Notices to Conectee must be sent to [email protected]; those relating to personal data, to [email protected] (see Privacy Policy). Notices to you may be made through the Platform, push notifications, or the registered email address.
20.8. Force majeure. We shall not be liable for failures caused by events beyond our reasonable control.
20.9. Order of precedence. In the event of a conflict between different Platform contents: (a) the values the Platform shows and you confirm when carrying out a specific transaction govern that transaction; (b) the Operating Parameters govern the amounts, percentages, terms, and limits applicable to how the Platform operates; (c) these Terms govern the parties' rights and obligations. No screen, summary, help material, or promotional material modifies these Terms.
